1. Agreement to Terms
By accessing or using the services provided by Havok ("Company," "we," "our," or "us"), a UAE-licensed digital agency, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
2. Services
Havok provides digital services including but not limited to: • Web Development and Design • Mobile Application Development • UI/UX Design • Brand Identity and Design • AI Agent Development and Integration The scope, timeline, and deliverables of specific projects will be defined in individual service agreements or proposals.
3. Client Responsibilities
As a client, you agree to: • Provide accurate and complete information necessary for project completion • Respond to communications and provide feedback in a timely manner • Ensure you have the rights to any content, materials, or data you provide • Make payments according to agreed-upon terms • Not use our services for any illegal or unauthorized purpose
4. Intellectual Property
Upon full payment, you will own the final deliverables created specifically for your project. However: • We retain ownership of any pre-existing materials, tools, or frameworks used • We may use generic code, templates, or components across multiple projects • We reserve the right to showcase completed work in our portfolio unless otherwise agreed • Any proprietary tools or methodologies developed by Havok remain our property
5. Payment Terms
• Payment terms will be specified in individual project proposals or contracts • Standard terms require a deposit before work commences • Late payments may result in project suspension or additional fees • All prices are in AED unless otherwise specified • Refunds are handled on a case-by-case basis as outlined in project agreements
6. Project Changes and Revisions
• The number of revisions included will be specified in project agreements • Additional revisions or scope changes may incur extra charges • Significant changes to project scope may require a revised proposal • We will communicate any impact on timeline or budget before proceeding with changes
7. Confidentiality
We agree to keep confidential any proprietary information shared during our engagement. This includes: • Business strategies and plans • Technical specifications • Customer data • Trade secrets This obligation continues after the termination of our business relationship.
8. Limitation of Liability
To the maximum extent permitted by UAE law: • Our liability is limited to the amount paid for the specific service in question • We are not liable for indirect, incidental, or consequential damages • We are not responsible for third-party services, hosting, or platforms • We do not guarantee specific business results from our services
9. Warranties
We warrant that: • Our services will be performed professionally and with reasonable care • Deliverables will substantially conform to agreed specifications • We have the right to enter into agreements and provide our services We do not warrant that services will be uninterrupted or error-free.
10. Termination
Either party may terminate a project agreement: • With written notice as specified in the project agreement • Immediately if the other party breaches material terms • Upon mutual written agreement Upon termination, payment is due for all work completed to date.
11. Governing Law
These Terms of Service are governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts of Abu Dhabi, UAE.
12. Changes to Terms
We reserve the right to modify these terms at any time. Changes will be effective upon posting to our website. Continued use of our services after changes constitutes acceptance of the modified terms.
